Natalie Sepou

Natalie has 16 years of experience in corporate law and corporate financing, banking law, commercial law, insolvency law, electronic money law and payment services law.

Prior to founding Natalie Sepou LLC she was working for 14 years at a law firm which was a member of a Big Four Legal network, as a Director.

Acting as legal counsel of multi-national financial institutions she advises them on all aspects of Cyprus company law. She issues legal opinions covering commercial and corporate matters and carries out liquidations of private companies. She conducts legal due diligence reports on Cyprus companies entering into domestic and international business transactions, and drafts and negotiates commercial contracts, banking documents and credit facilities. She advises clients on a plethora of corporate and commercial matters.

Natalie ranked as a Rising Star for Banking and Finance  in the 2024 edition of Legal 500 EMEA guide.

She is an HRDA-approved facilitator with certification number ΣΕΠ004431.

She was invited by the Department of Law of the University of Cyprus to deliver lectures on “Legal opinions in Financing Transactions” in November 2017.

Some highlights of Natalie’s work include the following:

  • Advising an English bank on the Cypriot aspects of granting of a multi-million facility to a UK, Gibraltar, and Cyprus group of companies which form part of a group with a portfolio covering nine million square feet and a capital value of around £800 million.
  • Advising a Czech bank on the EUR68 million financing of 3 Cypriot companies of a large Czech group of companies for the development and operation of a large amusement park in Prague.
  • Representing an international commercial bank in London for the provision of credit facilities in excess of €380 million to 13 Cypriot companies, all subsidiaries of a Luxembourg fund. 
  • Performing a legal due diligence on a target Cyprus insurance company for the circa EUR14,000,000 acquisition of 98.7% of the issued share capital of the target company, leading with the responsible partner the project through all stages of the transaction, from negotiation to execution.
  • Acting as liquidators and legal advisors of a Cypriot subsidiary, which was part of a large US group of companies holding a portfolio of USD 25,000,000. The work involved the liquidation of the Cypriot company and the distribution of its assets to its shareholders, as well as advising the client through every step of the process.
  • Representing an international organisation in the restructuring of its group of companies and affiliates and their combination into a larger organisation comprising affiliate entities operating in 13 jurisdictions.
  • Representing a Cyprus company manufacturing and distributing ready-mix concrete products for the sale and purchase of the company and its assets of value circa €700,000.

Education:

Natalie graduated in 2006 from Warwick University with an LL.B (Hons) degree. She specialized in International Commercial Law at Leicester University, where she graduated in 2007 obtaining an LL.M degree with Distinction. In 2008 she completed her LPC (Legal Practice Course) at the College of Law in London following the Corporate and Commercial stream. She was admitted to the Cyprus Bar in 2009.
